    TERMS OF USE

    Contained herein are Nubytes’ Terms and Conditions of Use (“Terms”).
    Please read them carefully before using the Nubytes’ (“Service”) as they affect your legal rights and obligations.

    1. DESCRIPTION OF SERVICE AND ACCEPTANCE OF TERMS


    Nubytes’ hereinafter referred to as (“Nubytes”, “we” or “us”) offers enterprise class cloud-based application for businesses, such as Law Firms, etc.. Legal professionals are able to manage their practice virtually, seamlessly and efficiently. The application is web-based (with the native mobile application coming soon), and has several features, such as case management, document management/automation, task management, contract management, team management, client management, Reports, etc. (hereinafter referred to as “Service”), and will also include other features from 3rd parties, whose usage will be subject to their own terms and conditions. It is important to note that we are not responsible for the legal resources and materials available via such third parties. The term “Site” refers to points of access where you can view or access our services and includes our websites and applications. Devices such as smart phones and computers connected to access our Services will be collectively referred to as “Nubytes’ Devices” or “Devices”. “Payment Method” means the payment mechanism adopted by Nubytes’ to collect subscription fees to its Service. By accessing our Services and Sites you accept and agree to these terms and are therefore bound by them. Further, by using this Service, you accept and agree that you are at least 16 years of age or of majority age and are fully capable and competent to enter into terms, conditions and obligations set forth in this agreement.

    Nubytes’ has adopted a secured method of storing and managing your files, documents and other data. Subscribing to our service enables the storage of your files, documents and other data on our secured storage with Amazon Web Storage (S3 Buckets), for which we have reasonably provided adequate data privacy security.

    2. REGISTRATION AND SUBSCRIPTIONS


    2.1 Nubytes’ Services are intended for legal firms ranging from individual/solo practices to medium and large practices. As a cloud-based application, the architecture is robust enough to accommodate different sizes of firms.

    2.2 Upon registration, we may ask you to provide information about yourself such as your name, company detail (such as incorporation details), physical office address, and contact information (such as your email address or your phone number and billing information). We require that the details be correct and up to date. If we have reason to believe that the information provided is false, incorrect or obsolete, we have the right to refuse or deny you access to our Services.

    2.3 We offer an option to create a profile and subsequently configure the service for your Practice/Company. These configuration is required for you to effectively and efficiently maximize the application’s utility.

    2.4 Your registration with us will continue unless otherwise terminated by you or us.

    3. BILLING AND PAYMENT


    3.1 We charge a fee (inclusive of VAT) to use our Services, which forms the subscription to our Service. We will notify you in advance of the billing wherefrom you will be charged on the specified billing date. Your subscription will automatically be renewed per your subscription cycle, unless and until you cancel your subscription, or your account is terminated. We reserve the right to change the terms of your subscription, including payment. We shall notify you of these changes and the changes shall be effective as of the next billing date following the date of change.

    3.2 The length of your subscription will depend on the subscription that you choose upon registration. The subscription fee is also dependent on the subscription plan you choose. The period of subscription may also vary if the day you began subscription is not contained in the next month e.g. (some months have 30, 31, 28 or 29 days), and its monthly, quarterly and yearly.

    4. PAYMENT METHOD


    Upon registration, you will be required to provide one or more Payment Methods accepted by Nubytes. Nubytes has adopted two Payment Processors for its Service, namely, Stripe™ and Paystack™. The Payment Processor available for your use depends on the geographic location you are connecting with the Nubytes from. Furthermore, you may update your Payment Method from time to time from your profile settings. We may suspend our Services if payment has not been effected due to insufficient funds, expiration or any other reason. Our Services will be restored once payment is settled. During your service suspension, you MAY NOT be able to use our Service. As stated hereinabove, you are responsible for additional charges such as VAT. You can also update your Payment Method, in which case, we shall continue to charge the relevant fee.

    If you choose our Basic, Silver or Gold Packages, we advise to monitor your storage consumption to avoid any interruption in service in case you have fully utilized the package’s allocated storage. You need to urgently request for your package upgrade or additional storage to avoid service interruptions.

    4.1 FREE TRIALS
    We MAY offer free trials subject to terms such as trial period as will be set out when signing up. We reserve the right to determine eligibility for free trials. When your free trial ends, the subscription fee will be charged to your Payment Method for continued use. If you do not want to incur the charges, you may cancel your subscription. Please note that we may not receive notification that your free trial has ended and that payment is due therefore will be effected. Be sure to view the end date of your free trial on our website.

    4.2 PROMOTIONS
    We may offer promotions from time to time, which promotion’s terms will be set out to you during sign-up. When the promotion ends, we will bill your Payment Method the non- promotional fee. In the event that you do not want the non-promotional fee to be effected, you can cancel your subscription before the promotion ends or as otherwise directed.

    4.3 CANCELLATION AND REFUNDS
    You can cancel your subscription at any time by going to your ‘Account’ on our Site. Cancellation should be done prior to the next billing date. You will continue to access our Service through the end of your current billing period. If you used a third party as a Payment Method and would like to cancel your subscription, then you will need to go through the said third party. Payments are nonrefundable and credits will not be provided. If you cancel your subscription or if your account is terminated, no credit will be provided.

    5. USE OF NUBYTES SERVICE


    5.1 The Services are intended for businesses ranging from individual/solo practices to medium and large enterprises. You should be at least 16 years of age to use our Service.

    5.2 Nubytes Service is strictly for the use of the subscribed firms only. You may not decoupling, deconstruct, copy, reproduce, distribute, publish, hacking into a database, display, perform, modify, create derivative works, transmit, or in any way exploit any part of this Service. Additionally, no part of this Service may be distributed for sale or offer for sale. The Service provided via Nubytes is protected by copyright law and other intellectual property laws. Decompiling, reverse engineering, disassembling, or otherwise reducing the code used in any software on this Service into a readable form in order to examine the construction of such software and/or to copy or create other products based (in whole or in part) on such software, is prohibited. Additionally, you may not transmit material devised to destroy, limit or interrupt the functionality of our software, hardware or any other equipment including viruses. You are also prohibited from using any facilities or resources to tamper with or compromise the security of our systems.

    5.3 The Content accessed by our Service should not be relied on or advice e.g. medical and legal consultation. Content are strictly the opinions of the third party owners.

    5.4 You will need compatible Devices to use our Service. These include Devices such as smart phones, tablets and desktops. Certain functionalities and features may differ depending on the Operating System of your Device and subscription.

    5.5 To use our Service you need internet connection form an internet Service provider. You are responsible for the costs of your internet usage subject to terms provided by your internet Service provider.

    5.6 From time to time you may be notified of the need to download an updated software. The update may also be automatic. The software updates are incorporated in these terms unless otherwise provided or directed.

    5.7 You agree to use our Service in a manner consistent to the applicable laws, the terms and restrictions contained in this policy. We may terminate or deny you use of our Service if you do no abide by these terms, restrictions and applicable laws.

    6. NUBYTES ACCOUNT, PAYMENT DETAILS AND PASSWORD


    The Account owner is responsible for its Nubytes account and should at all times keep discrete the Payment Method, details and not reveal its password to anyone. If any other person performs an action using your account we will treat the action as if it was done by yourself or with your approval.

    7. TRADEMARKS


    trademarks of Nubytes Technologies INC. As such, none of our trademarks should be copied or utilized.

    8. UNREQUESTED SUBMISSIONS


    We do not accept unrequested submissions such as designs, codes, designs, among other submissions. Any similarity between such unrequested submissions and our works are therefore purely coincidental.

    9.0 ELECTRONIC COMMUNICATION


    We may communicate to you about our Services or Terms electronically through email or through our Sites. You agree to receive electronic communication form us and that such communication satisfies any applicable legal communication requirements.

    10. DISCLAIMER OF WARRANTIES, LIMITATION OF LAIBILITY AND INDEMNITY



    10.1 The use of Nubytes Service is at your own risk. This Service, including Content, software and all other material is provided “as is” and “as available” therefore there will be no warranties of any kind, either express or implied, to the fullest extent permitted by law. Our Service may not be free of error or inaccuracies. We do not make any warranties or representation regarding the use of the Service, including but not limited the Content, material, software, facilities and information connected to this Service.

    10.2 We and our affiliates do not accept any liability for any loss or damage, whether direct, indirect, coincidental or otherwise resulting from use or inability to use this Service including material, facilities, information, software and Content on this Service.

    10.3 TYou agree to indemnify us and our affiliates from, and hold us and our affiliates harmless against any all liabilities, claims, damages and expenses or any other loss related in any way to your breach of these terms or any unlawful commission or omission.

    11. DISPUTE RESOLUTION


    If you have an issue regarding our Service you can contact our customer care Services for resolution of disputes atinfo@nubytes.cloud. If you are not satisfied with the solution, we agree to solve this dispute through arbitration per the arbitration laws of the State of Delaware, United States. You agree that you waive your right to litigate a dispute in court. Further, arbitration will take place on individual basis and class actions are not permitted. If a dispute is not filed within a year, then it shall be time barred and cannot be pursued.

    12. SEVERABILITY


    If any provision shall be held unlawful, void or unenforceable for one reason or another, this shall not affect the enforceability of the remaining provisions.

    13. FORCE MAJEURE


    We shall not be liable for reason of being unable to perform our obligation if the failure is occasioned by force majeure. Such events include, but are not limited to, act of God, epidemic, war, government action or any other unforeseeable circumstances beyond our control.

    14. GOVERNING LAW


    These Terms of Use shall be governed by, construed and enforced in accordance to the laws of the State of Delaware, United States.

    15. CHANGES TO THESE TERMS


    We may make changes of these terms from time to time for various reasons. Changes of these terms will be communicated to you at least 30 days before such changes apply. If you do not agree to these changes, you must end your Subscription with Nubytes.
